The Vienna Stock Exchange, one of the oldest exchanges in the world allows private companies from most jurisdictions to issue and list their bonds on the MTF Market under simplified listing rules and conditions and at very reasonable rates.
The MTF Market of Vienna Stock Exchange is operated by the regulated Vienna Stock Exchange. It is also referred to as the Third Market.
The main advantages for listing in MTF Markets are:
An issuer would need an EU-based regulated investment firm (Eurivex Ltd. – eurivex.com) to act as the Investment firm signing the application in addition to completing the other documentation.
Eurivex will prepare the Information Memorandum as well as Terms and Conditions of the bond issue and liaison with the Vienna Stock Exchange until the listing is secured.
Issuers will need to provide a complete and detailed business plan as well as state in detail how the funds will be used, the purpose of the bond issue, future plans and any other information that will be required and needed by the authorities.
Eurivex will also secure a Trustee for the bonds.
The Issuer needs to furnish evidence that it meets the requirements to be eligible for trading pursuant to Exchange rules but has the choice of deciding the clearing system such as Euroclear, Clearstream Luxembourg, the UK’s CREST or other global clearing houses.
Eurivex offers to setup the registry in CREST through UK Registrars.
Eurivex offers a complete package including the preparation of Information Memorandum, listing application to the Vienna Stock Exchange, securing of ISIN, bond registry dematerialization and delivery to registry, custodian for investors as well as acting as broker for trading in the bonds.
